Executives are paid largely in stock and sell it for ordinary reasons, which is why a purchase is the rarer and more studied event.
- How much insider selling is pre-scheduled under 10b5-1 plans?
- 70% of the 43,838 insider sales at the 658 US companies InsiderPulse tracks continuously from Jul 01, 2025 to Jun 30, 2026 were marked on the Form 4 as made under a Rule 10b5-1 trading plan — sales whose dates or amounts were fixed months in advance, so they say little about the insider's view on the day.
- Which companies had the most different insiders buying?
- Matador Resources Company (MTDR), where 15 different insiders bought $2.8M of stock from Jul 01, 2025 to Jun 30, 2026. Then Norwegian Cruise Line Holdings (NCLH) with 13. Several people at one company buying is harder to explain by one person's circumstances than a single purchase.
- Where does this data come from, and what is left out?
- SEC's quarterly Form 3, 4 and 5 data sets, read line by line: transaction code P purchases and code S sales of common stock. Code P covers open-market and private purchases alike, so a few of the largest are placements bought directly from the company. Grants, option exercises and tax withholding are excluded, as are company plan purchases (eight or more insiders buying on one day at one price), lines whose price is implausible against the same stock's other trades, and duplicate reports of one block by a fund and the people who control it.
