Questions
- What counts as insider buying?
- A purchase of the company's own shares on the open market by an officer, a director or a holder of more than 10%, reported on SEC Form 4 with transaction code P. It is the insider spending their own money at the market price. Share grants, option exercises and shares withheld for tax are compensation, not decisions, and are left off this list.
- How quickly do insiders have to report a purchase?
- Within two business days of the trade, on Form 4. This page reads those filings from SEC EDGAR and refreshes every 30 minutes; purchases that slip past the live feed are picked up from EDGAR's complete daily index by the next morning.
- Does insider buying mean a stock will go up?
- Not on its own. Purchases can reflect confidence, but also a new director making a customary first buy, a 10% holder rebalancing, or a signal meant for the market. This site's own backtest of recent filings found insider purchases as a group lagged the S&P 500 over the following 90 days. Treat a purchase as a reason to look closer, never as a reason to buy.
- Why is a CEO or CFO purchase weighted more than a director's?
- Senior officers see the business most directly, so an open-market purchase by a CEO or CFO is the most studied kind of insider buy. Several different insiders buying the same stock within a short window — a cluster buy — is harder still to explain away.
