How to read this
Every row is one line from a Form 4 — the filing a company insider must submit within two business days of trading their own company's stock. Straight from SEC EDGAR, parsed and priced.
Most insider "buying" is not buying. Grants and option exercises are compensation, not someone spending their own money, and they dominate the raw count. The Open market only filter reduces this to code P — the transactions that actually cost the insider something.
- Open market (code P)
- A real purchase at market prices with the insider's own cash. The only buy type this app treats as conviction.
- Grant / Award (code A)
- Shares handed over as compensation. Free to the recipient, and routinely issued to a dozen executives on the same day.
- Exercise (code M)
- Converting options into shares at a pre-agreed price. Often followed immediately by a sale.
- Deriv badge
- A derivative leg — an option or convertible rather than common stock. Excluded from the volume totals, because one exercise reports twice and would double-count.
- 10b5-1 badge
- The trade was made under a plan scheduled in advance, when the insider was barred from holding inside information. It moved shares but expresses no view about today — the Discretionary only filter removes these.
- ⚡ Cluster
- Two or more different insiders bought the same issuer on the open market. Rare, and the strongest pattern here — one person can be wrong about their own company; three at once is harder to dismiss.
